Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Derekh Learning website, applications (including our iOS app), and related services (the "Service") provided by Derekh Learning ("Derekh Learning," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You may also be subject to additional terms, such as those from third-party providers (for example, payment processors, the Apple App Store, or AI platforms).

2. Eligibility

You may use the Service only if: you are at least 13 years old; you have the legal capacity to enter into a binding contract; and you are not prohibited from using the Service under applicable law.

If you are using the Service on behalf of an organization (for example, a school, synagogue, or learning center), you represent that you have authority to bind that organization to these Terms.

3. Account Registration & Security

To access certain features, you must create an account. You agree to provide accurate, current, and complete information; maintain and promptly update it; keep your login credentials confidential; and notify us immediately of any unauthorized use of your account or security breach.

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to safeguard your account.

4. Subscriptions, Billing, and Payments

4.1 Free and Pro Plans

Derekh Learning offers a Free tier with limited access to features and lesson generation, and a Pro subscription tier with expanded or unlimited access (for example, the all-of-Torah AI Chevruta, additional learning paths, flashcards, scheduled lessons, offline audio, and educator-focused tools). The specific features available in each plan are described on our Pricing page, which is incorporated into these Terms by reference.

4.2 Payment Processing

Payments for Pro subscriptions are processed either by a third-party payment processor (on the web) or by Apple through the App Store (in the iOS app). By providing payment information or completing an in-app purchase, you authorize the applicable processor to charge the fees, including any taxes, in accordance with the plan you select. We do not store full payment card numbers on our servers.

4.3 Subscription Term, Renewal, and Cancellation

Unless otherwise specified, Pro subscriptions are billed on a recurring basis (for example, monthly or annually) and automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date.

  • For subscriptions purchased through the Apple App Store: payment is charged to your Apple ID account. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage or cancel your subscription, and turn off auto-renew, in your Apple ID account settings; you cannot cancel an active subscription for the current period after it has started. Any unused portion of a free trial is forfeited when you purchase a subscription.
  • For subscriptions purchased on the web: you may cancel at any time via the account or billing portal; cancellation is effective at the end of the current billing period.

You will continue to have access to Pro features until the end of your paid term, after which your account may revert to the Free tier or be limited.

4.4 Changes to Pricing and Plans

We may change our subscription plans and pricing from time to time. Changes will not apply retroactively to already-paid periods. We will provide notice of any material changes, and your continued use of the Pro plan after the change takes effect constitutes your acceptance of the new pricing.

4.5 Refunds

Except where required by law or explicitly stated otherwise, all fees are non-refundable. Purchases made through the Apple App Store are subject to Apple's refund policies, and refund requests for those purchases are handled by Apple. For web purchases, we may consider refund requests on a case-by-case basis at our sole discretion, but we are under no obligation to grant them.

4.6 Apple App Store Terms

If you download or use our iOS app, the following additional terms apply, and you acknowledge and agree that:

  • These Terms are between you and Derekh Learning only, not with Apple. Apple is not responsible for the app or its content.
  • Your license to use the app is a limited, non-transferable license to use it on any Apple-branded device that you own or control, as permitted by the App Store's Usage Rules.
  • Apple has no obligation to provide maintenance or support for the app.
  • In the event the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
  • Apple is not responsible for addressing any claims relating to the app, including product-liability, legal/regulatory, or consumer-protection claims, or third-party claims that the app infringes intellectual property rights.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
  • You must comply with all applicable third-party terms, including the App Store Terms of Service, when using the app.

5. License and Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational use, or for internal educational use within your institution or organization.

You may not: copy, modify, or create derivative works of the Service or its underlying software; reverse engineer, decompile, or attempt to extract source code (except as allowed by law); resell, sublicense, or otherwise commercially exploit the Service except under a separate written agreement with us; or circumvent any security or access controls related to the Service.

Nothing in these Terms transfers any ownership rights in the Service or its content to you.

6. User Content

6.1 Your Content

"User Content" includes any text, prompts, questions, reflections, notes, settings, or other content that you submit, upload, or generate through the Service (including content the AI generates in response to your inputs, to the extent it is associated with your account). You retain any rights you have in your User Content, subject to the license you grant to us below.

6.2 License You Grant to Derekh Learning

By submitting or generating User Content through the Service, you grant Derekh Learning a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to: use, reproduce, modify, adapt, translate, and create derivative works of your User Content as necessary to operate, maintain, and improve the Service; display your User Content within the Service (for example, your lessons and notes in your own account); and display and distribute User Content you choose to share publicly or within community features (for example, shared reflections). We may also use aggregated or de-identified data derived from your use of the Service for analytics, research, and product improvement.

6.3 Responsibility for User Content

You are solely responsible for your User Content and for ensuring that it complies with applicable laws and these Terms and does not infringe or violate any third-party rights (for example, privacy, publicity, or intellectual property rights). We do not have an obligation to monitor User Content, but we may remove or disable access to any User Content that we believe violates these Terms or poses a risk to the Service, users, or others.

7. Acceptable Use

You agree that you will not use the Service to: violate any applicable law or regulation; harass, threaten, or harm others, or promote violence, hatred, or discrimination, including on the basis of religion, ethnicity, nationality, gender, sexual orientation, or any other protected characteristic; upload or share content that is defamatory, obscene, or otherwise objectionable; impersonate any person or entity, or misrepresent your affiliation; attempt to gain unauthorized access to the Service, other accounts, or systems; interfere with or disrupt the Service or its infrastructure; use automated scripts or scraping tools to access, query, or copy any part of the Service in a way that exceeds normal human usage; or use the Service to develop or train competing models or services without our prior written consent.

We reserve the right to investigate and take appropriate action (including terminating or suspending accounts) for violations of this section.

8. AI-Generated Content and Educational Disclaimer

Derekh Learning uses AI models and third-party platforms to generate lessons, explanations, answers, audio narration, and other content. AI-generated content can be incomplete, ambiguous, or incorrect.

You acknowledge and agree that:

  • AI-generated output is provided for informational and educational purposes only.
  • The Service does not provide legal, medical, psychological, financial, or professional counseling.
  • The Service does not replace personal religious guidance from a rabbi or qualified teacher.
  • You are responsible for evaluating and verifying any information before relying on it.
  • We make no guarantees regarding the theological, halachic, academic, or factual correctness of any AI-generated content. You use such content at your own risk.

9. Intellectual Property

9.1 Derekh Learning Content

The Service, including its design, software, code, logos, trademarks, branding, and all non-user content (collectively, "Derekh Content"), is owned by or licensed to Derekh Learning and is protected by intellectual property laws. You may not use Derekh Content except as necessary to use the Service in accordance with these Terms. Any unauthorized use of Derekh Content is prohibited.

9.2 Third-Party Content and Text Libraries

The Service may incorporate or provide access to third-party texts, data, APIs, and content (for example, Jewish texts and commentaries from external libraries or APIs). Such content is subject to the terms and licenses of the respective providers. You are responsible for complying with any additional license terms or restrictions that apply to third-party content. Nothing in these Terms grants you any ownership rights in third-party content, and any use beyond what the Service permits may require separate permission from the relevant rights holders.

10. Third-Party Services

The Service may integrate or interact with third-party services (for example, payment processors, the Apple App Store, AI providers, content libraries, analytics, or embedded platforms). Your use of those services may be subject to separate terms and privacy policies. We are not responsible for third-party services or how they handle your data. You acknowledge that we may share limited data with such services as necessary for the Service to function, as described in our Privacy Policy.

11. Termination

You may stop using the Service at any time. You may also request that we delete your account by contacting us or using available in-app options.

We may suspend or terminate your access to the Service (including your account) at any time, with or without notice, if we reasonably believe that you have violated these Terms or applicable law, that your use creates risk or possible legal exposure for us or others, or if we discontinue or materially change the Service.

Upon termination, your right to use the Service will end. Some information may remain in our systems as described in the Privacy Policy (for example, for legal or backup purposes). Sections of these Terms that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitations of liability, and dispute provisions) will continue to apply.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, DEREKH LEARNING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that any defects will be corrected, or that the Service is free of viruses or other harmful components. We do not warrant or make any representations concerning the accuracy, reliability, or completeness of any content (including AI-generated content) available through the Service.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DEREKH LEARNING OR ITS OWNERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: your access to or use of (or inability to access or use) the Service; any conduct or content of any user or third party; any content obtained from the Service (including AI-generated output); or unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Derekh Learning and its owners, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your User Content, your violation of these Terms or any applicable law, or your violation of any third-party right.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict-of-law rules. You agree that any legal action or proceeding arising out of or relating to the Service or these Terms will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction and venue of such courts. If you are located in a jurisdiction that does not allow this choice of law or forum, these provisions apply to the extent permitted by that jurisdiction's laws.

16. Changes to the Service and These Terms

We may modify or discontinue all or part of the Service at any time, with or without notice. We may also modify these Terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, provide additional notice (for example, via email or in-app notification). By continuing to use the Service after the revised Terms become effective, you agree to be bound by them. If you do not agree to the new Terms, you must stop using the Service.

17. Miscellaneous

  • Entire Agreement — These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Derekh Learning relating to the Service.
  • Severability — If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver — Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
  • Assignment — You may not assign or transfer these Terms or your rights under them without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
