Hook

Founders are obsessed with the "when." We obsess over vesting schedules, M&A triggers, and the precise moment a product-market fit signal moves from "anecdotal" to "scalable." We treat our legal and operational agreements as static, but the reality of high-stakes business is that conditions change, markets pivot, and the "why" of a contract can be undermined by a force majeure or a simple, unforeseen delay.

The real dilemma, however, is not the delay itself—it is the ambiguity of the transition. When you set a condition for a partnership split, a vesting cliff, or an exit clause, do you have a clear, enforceable "state change" mechanism? Or are you operating in a "gray zone" where you think you’ve protected the business, but the legal reality leaves you vulnerable to litigation or, worse, an unenforceable agreement?
